Setting Up a Limited Company

Does a company have to issue shares?

Yes, if it is a company limited by shares. All companies limited by shares must have at least one share issued to one shareholder at the time of incorporation. There must be at least one person or legal entity that owns the company.

What is a Person of Significant Control?

When forming a company you have to provide details of any people that have control over the company. This includes shareholders with 25% of shares or more or anyone with significant influence or control over the company.

Should I use LTD or LIMITED?

There is no legal difference in choosing one over the other. It’s entirely down to your preference.

When will I get my company documents?

Your company documents will be available as soon as your company is registered at Companies House. This is typically within just a few hours. These include issuing you with:

Certificate of incorporation
Share certificates

Can my trading name be different than my company name?

You can use a different trading name as opposed to your actual company name registered with the Companies House. However, by law, you are required to communicate this on all your marketing materials, invoices etc.

Example:
You can trade with your brand name (XYZ Cothing) whilst your registered company name is ABC Limited. However, all your communication with your stakeholders must mention this. (XYZ Clothing is a trading name for ABC Limited)

How can I protect my company name?

Registering a company name at Companies House will prevent other businesses from registering the same name. You also might want to look at trademarking your brand name, so others cannot profit from using similar trade names.

Can I choose any name I like for my company?

Generally, yes. However, there are some limitations on the name that can be chosen, whilst many company names are freely available, others are protected. If your company name contains a sensitive word or expression you may need to add supporting data to the application.

Can I change my company name after incorporation?

Yes, a company name can be changed any time after the incorporation.

How long does it take to form a company?

Companies are normally registered in approximately 3 to 8 working hours.
